Grant of LTIP Awards to Directors
Oxford Metrics plc (AIM:OMG), the smart sensing software company servicing, life sciences, entertainment and engineering markets, announces that on 2 December 2021 it granted share options ("Options") to certain of its executive directors to acquire a total of 1,794,847 ordinary shares in the Company under the Oxford Metrics 2021 Long Term Incentive Plan ("LTIP"). The Company has consulted with its major institutional shareholders prior to the implementation of the LTIP and it is structured to align with the Company's five-year growth strategy.

The Options have an exercise price of 0.25 pence per share with a vesting date of 2 December 2026, being the fifth anniversary of the grant date. The Options are subject to achievement of certain performance conditions on the basis of 25% vesting for delivery of a 12% annualised total shareholder return growth ("TSR") over the five-year period, with 100% of the Options vesting for delivery of a 22% annualised TSR over the five-year period. Delivery of an annualised TSR of between 12% and 22% will result in the Options vesting pro rata on a straight-line basis between the 25% and 100% thresholds. Failure to deliver an annualised TSR of 12% will result in no Options being granted.
